Andrew was a founding partner in the firm Read Hope Phillips Thomas & Cadman Inc, the forerunner of PwC Legal South Africa.
Prior to establishing Read Hope Phillips Thomas & Cadman Inc, Andrew was a director of Brait Advisory Services, a division of Brait.

Experience
Andrew’s experience includes –

TMT & ICT

  • advised the Multichoice Group on a number of transactions across Africa;
  • advised Brait S.A. on a potential acquisition in the telecoms sector in Nigeria;
  • advised Inala Broadcast (Pty) Ltd on a number of corporate transactions;
  • advised Gijima Holdings (Pty) Ltd on an acquisition in the ICT sector;

 

Healthcare

  • advised Brait S.A. on the disposal of its equity interest in Fine Chemicals to Aspen Pharmacare;
  • advised Adcock Ingram Holdings Limited in relation to (i) the unbundling of Adcock Ingram from Tiger Brands, (ii) the takeover of Adcock Ingram which was contested between The Bidvest Group Limited and CFR Pharmaceuticals (Chilean company, (iii) the acquisition by Adcock Ingram of a majority equity stake in Ayrton Pharmaceuticals, which is listed on the Ghana Stock Exchange, (iv) an offer for a majority equity stake in a Moroccan pharmaceutical company, (v) the acquisition by Adcock Ingram of an equity interest in Batswadi Biotech, (vi) the raw materials supply, license and distribution agreements with Baxter Healthcare, (vii) a license and distribution agreement with Fresenius Kabi South Africa, (viii) the acquisition by Adcock Ingram of an equity interest in The Scientific Group, and (ix) the acquisition by Adcock Ingram of an equity interest in Tender Loving Care Hygiene Cosmetic and Baby Products; and
  • advised on, negotiated and drafted numerous supply, distribution and similar agreements in various industries, including the pharmaceutical and healthcare sectors;
  • advising the National Department of Health, Affordable Medicines Directorate on certain procurement related legal issues;

 

Competition law

  • advised clients in the pharmaceutical, shipping, hotel, automotive parts, motor vehicle, bitumen, fire equipment and liquified gas industries who were subject to cartel investigations by the Competition Commission of south Africa;
  • advised on merger filings across the African continent at both a domestic and regional level (e.g. COMESA);

 

Other

  • advised funds managed by Development Partners International on various transactions including the acquisition of a facilities management group headquartered in Mauritius with a presence in 7 African countries;
  • advised on the following takeovers and delistings of public listed companies from the JSE Softline Limited (2002), Pepkor Limited – (2004), MNet and Supersport (2004), Freeworld Coatings Limited (2011), Digicore Holdings Limited (2015), and Cargo Carriers Limited (2018);
  • advised SAA in issues relating to regulation of the aviation sector in South Africa and internationally.
